1. What is the relationship between Embotelladoras Arca and Coca-Cola?
Embotelladoras Arca, through its subsidiaries, produces, distributes and sells beverages, mainly under The Coca-Cola Company brand, as well as proprietary and third-party brands. According to the bottling contracts between Arca and TCCC, Arca has the exclusive right to distribute and sell Coca-Cola brands on the northern region of Mexico.
2. Which stock exchanges does Embotelladoras Arca trade on?
ARCA trades on the Bolsa Mexicana de Valores (BMV), under the ticker ARCA.
3. When were the stock certificates issued, what interest rates do they pay and when do they mature?
Stock certificates were issued for a total of Ps 1,500,000 (thousands of nominal pesos), on November 7, 2003. These certificates correspond to the first part of a deposit program for a total of Ps 5,000,000 (thousands of nominal pesos). The deposit consisted in an issuance in the amount of Ps 1,000,000 (thousands of nominal pesos) in a 5-year term with a 182-day variable CETES interest rate plus 88 base points, and another issuance for an amount of Ps 500,000 (thousands of nominal pesos) at a 7-year term with an 8.8% fixed interest rate.
4. What does the Arca´s Synergy Program consist of?
In 2003, Arca established a Synergy Program oriented towards the capitalization of opportunities coming from the merger, through a more agile and efficient organization. This plan´s prioritries are rationalizing and updating installed capacity, cost reduction, and optimization of the organizational structure.

6. What´s the difference between proprietary, Coca-Cola and third- party brands?
Coca-Cola brands are property of The Coca-Cola Company. Arca has a bottler contract, which allows the Company to produce and distribute beverages of TCCC in Northern Mexico. Proprietary brands belong to Arca, and are produced and distributed by the Company. Third- party brands are only distributed by the Company.
7. Are all of Arca´s products available in all of its territories?
Though most of our products can be found in all Arca territories, there are certain formats and products that are only sold in some of the cities.
8. When and how did the Arca merge occur?

In 2000, the Barragan family, who were shareholders of Procor, initiated talks with the Arizpe and Fernandez families, who were the shareholders of Arma and Argos, respectively, to analyze the possibility of merging their companies to form one single bottling company. On January 2001, they obtained the approval of The Coca-Cola Company on their merger project.

On May 30, 2001, the majority shareholders of Procor, Arma and Argos signed an agreement to complete the merger of their companies. On August 9, 2001, as part of the agreement, Procor purchased The Coca-Cola Company's 12% stake in Arma. On August 24, 2001, general shareholder's meetings were held for Premarsa, Arma and Procor, during which the merger of Premarsa (producer of plastic bottles of Grupo Arma) and Arma into Procor was approved. At that moment, Procor changed its name to Embotelladoras Arca, S.A. de C.V.

On December 11, 2001, Arca acquired 20.76% of Argos' shareholder's from The Inmex Corporation (a subsidiary of The Coca-Cola Company). On December 13, 2001, as a result of the tender offer, Arca acquired 235,469,656 shares of Argos, or 78.92% of its shareholder's equity. As a result of these transactions, Arca holds a 99.68% stake in Argos.

El 11 de Diciembre de 2001, Arca adquirió de The Inmex Corporation (subsidiaria de The Coca-Cola Company) el 20.76% del capital social de Argos. El 13 de Diciembre, 2001, como resultado de la oferta pública, Arca adquirió el 78.92% del capital de Argos. Como consecuencia de estas operaciones, la participación de Arca en el capital social de Argos es de 99.68%.
